UNION COUNTRY CLUB, INC.
Corporate Purposes and By-Laws
The Corporation shall be known as the Union Country Club, Inc., the purpose of which is to create a non-profit corporation for the development of a golf club in placeCityUnion, StateMaine, for the enjoyment of the members, and to encourage the playing of golf as a means of recreation and exercise to improve the health and enjoyment of those participating.
Upon the dissolution of the Corporation or the termination of its activities, the assets of the Corporation remaining after the payment of all its liabilities shall be distributed exclusively to one or more organizations organized and operated exclusively for such purposes as shall then qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954, as amended, and as a charitable, religious, eleemosynary, benevolent or educational corporation within the meaning of Title 13B, Chapter 525 of the Maine Revised Statutes as amended.
No part of net earnings of the Corporation shall inure to the benefit of any member, director, or officer of the Corporation, or any private individual (except that reasonable compensation may be paid for services rendered to or for the Corporation in carrying out one or more of its purposes), and no member, director, or officer of the Corporation, or any private individual, shall be entitled to share in the distribution of any of the corporate assets on dissolution of the Corporation.
BY-LAWS
Officers:
There shall be a President, Vice President, Secretary, Treasurer and Clerk, who shall serve until their successors are elected.
President:
The President shall preside at all meetings of the membership, and shall be responsible for the overall direction of the affairs of the Corporation. Prior to the annual meeting, the President shall appoint a nominating committee for the election of directors.
Vice President:
The Vice President shall perform the duties of the President in his absence, or in the event of his inability to serve.
Secretary:
The Secretary shall keep accurate records of the meetings of the Corporation, and of all meetings of the Directors of the Corporation.
Treasurer:
The Treasurer shall be responsible for the collection of dues, and of all monies, the payment of bills, and the keeping of financial records.
Clerk:
The Clerk shall keep the minutes of all meetings of the members of the Corporation in an appropriate book.
Directors:
There shall be a board of nine directors. Six of the directors shall be elected by the members at their annual meeting to serve two year terms. Three shall be elected each year so that in any year, three members are in the first year of their term and three are in the second year. The president, secretary and treasurer shall also serve as directors.
The Directors shall have the authority to make such rules and regulations, not in conflict with these By-Laws, as, in their judgement, are necessary for the governing of the Corporation. They shall have the power to make rules and regulations for the care of the course, the order and time of play, and the conduct of the players. Violations of such rules and regulations may be grounds for terminating membership. They may appoint such committees as may be necessary to execute the rules and regulations they are empowered to make
Meetings:
There shall be an annual meeting for the election of directors and the conduct of any other business which may come before the membership. The meeting shall be held during the month of April in each year, at the call of the president. Special meetings may be held at the request of the President or Board of Directors. Notice of meetings shall be given by the Secretary by mail, personal contact, or by advertising same in any paper published in the placePlaceTypeCounty of PlaceNameKnox or any placeStateMaine daily paper with circulation in the placePlaceTypeCounty of PlaceNameKnox.
. The Directors of the Corporation shall meet to elect all officers from the membership as soon as feasible following the annual meeting of the membership.
Membership:
The maximum number of members in the Union Country Club shall be determined by the Board of Directors, in consultation with the membership at its annual meeting.
There shall be three classes of membership, Junior, Regular, and Honorary.
Junior members: Members in this class are age 14 through 18 and are sponsored by an adult member. They may be accepted for membership upon the payment of dues and are not included in the count of the maximum number of members for the club. They may play at any time the course is not closed due to tournaments or special events.
Regular members: All members who are over the age of 18 years and who are not honorary members as described below are regular members. They may become members upon acceptance by the directors and payment of the prescribed dues then in effect. They may renew their membership thereafter on payment of the dues prior to May 1st. Members in this group may play at any time that access to the course is not limited due to tournaments or special events.
Honorary members: Members who have attained the age of eighty and who have been a member of the Union Country Club for the past five consecutive years may renew their membership each year without payment of dues. They shall be entitled to the same playing privileges as regular members.
Those people present at the organizational meeting of this Corporation held on March 12, 1961 shall be entitled to membership upon payment of the prescribed dues. All members joining before June 1, 1961 shall be known as Charter Members. Additional members may be admitted to the Corporation by making application to the Directors on recommendation of a member. The Directors shall advise the membership by posting of the application at the Club House. If there are no objections raised to the applicant's admission, the applicant shall be approved. If there is objection to the applicant by one or more of the members, they shall state their objection to the directors within ten (10) days from the date of posting. No applicant shall receive membership into the Club when objection is made unless his application is approved by six of the directors. The Directors shall determine the priority of the applicants for acceptance.
Dues:
The annual dues for the members shall be fixed by the membership at the annual meeting, or a special meeting called for that purpose. Dues must be paid on or before May 1st of each year. In addition thereto, the Directors are empowered to fix green fees for non-members, in such amounts, and for such periods, as in their judgment shall be necessary. Green fees for members or additional levies for unusual expenditures, or unforeseen emergencies, may be made on the membership, but only after notice to the entire membership, and the approval of the majority present and voting, at a meeting of the membership. Directors are exempt from the payment of dues while serving their term of office.
The By-Laws of the Corporation may be amended by two-thirds (2/3) vote of the membership, present and voting, at any regular or special meeting of the Corporation.
